I have purchased a new DELL desk top with out any Operating System and I purchased Windows 07 Professional for operating system. I asked the dealer to install the windows, when i received the system they have given a window 07 prof. dvd to me in which it is mentioned "licensed for distribution only with a new pc", it is a 32 bit software, is this a original window 07 professional software which we buy from a market, other than a software we get along with a new computer

It is the supplier that would actually be violating their terms of agreement with Microsoft, as they are selling a new computer that they did not build with an OEM version. That said...the OEM version is - usually 32bit OR 64 bit only.- tied to only the first computer it is installed on, and can never be transferred to a new computer - The support must be provided by the company that sold you the windows OEM disks. You can only call Dell for hardware failures, not for Windows help. The retail version - includes both 32 and 64 bit OS - has 90 days of support from Microsoft. - Can be installed on a new computer, if you remove it from the previous computer.Lastly the OEM version is about half price as the Boxed version, includes 99.99% exactly the same software (if the WGA verification is a bit different). If you paid full price for the OEM you should expect the retail version. Not because the software is any different, just because the supplier is profiting by breaking their agreement with MS.The short answer is" use it if you got a good price for it. You should be able to activate it at home is you have the Key. And it should behave as normal. I would only complain to the supplier if you paid too much.
Hmmm sounds like a problem because you have an OEM disk. It is authentic Windows 7 so no worries about that. Essentially this means that the company has negotiated a deal with Microsoft to sell the product for computers they have built. If you bought an HP computer, it would include an OEM disk from HP. If the company bought a built computer from HP without an operating system, and then sold you the computer with the OEM version, this would not be OK as the computer seller did not actually build the computer. If you built the computer and went to the store, asking for an OEM version, the company could sell you an OEM version with Microsoft's blessings.

Yes SIR its 10000% genuine and original coz its only for distributors im Student here bt i work already Part time sm places so sm tm d own shop or company using that windows for system coz its original bt need 2 activate that 1 may b u want copy also for that so for that u need to activate also

What you got is an OEM (Original Equipment Manufacturer) Disc. It is legit if it wasn't used for any activation yet. But if it was registered before thru Windows Activation, then it is considered as "pirated" or counterfeited. The issue is not on the disc, but the "key" for activation.
Don't just ask them to install for you. Ask them to ACTIVATE for you the legit key (if you are after legit copy)
it should be authentic.
